1. The Service
localeads provides research and intelligence about businesses and markets to support acquisition, diligence, and related business purposes: company profiles, market context, signals, estimated financial ranges, and contact information compiled from public records, licensed data, and web sources. The Service is an information tool. We do not broker transactions, provide legal, financial, or investment advice, or guarantee the accuracy or completeness of any record.
2. Accounts
You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms.
3. Subscriptions and payment
Paid plans bill in advance on a recurring basis at the prices shown at purchase, plus any usage-based charges described in your plan. Fees are non-refundable except where required by law. We may change prices with notice effective at your next renewal. You can cancel at any time; cancellation takes effect at the end of the current billing period.
4. License and use of data
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service and the data it provides ("localeads Data") for your internal business purposes, including evaluating, contacting, and transacting with the businesses it describes. You may not:
- resell, redistribute, sublicense, or publish localeads Data, or provide it to third parties except to your own advisors bound by confidentiality;
- use localeads Data to build or train a competing product or database;
- scrape, bulk-export beyond provided export features, or circumvent usage limits;
- use the Service to determine any person's eligibility for credit, insurance, employment, housing, or any other purpose regulated by the Fair Credit Reporting Act. localeads is not a consumer reporting agency and localeads Data is not a consumer report;
- use the Service for unlawful surveillance, stalking, harassment, or any unlawful purpose.
5. Your outreach is your responsibility
If you contact people or businesses using information from the Service, you are solely responsible for complying with all laws that apply to that outreach, including telephone and text-message laws (such as the TCPA), do-not-call registries, CAN-SPAM, and any state equivalents. localeads does not represent that any phone number, email address, or other contact point may lawfully be contacted, and verification statuses in the product describe data quality, not legal permission to contact.
6. Sending through localeads
When you approve a sequence, localeads sends it on your behalf from mailboxes localeads provides and manages. Every message carries an unsubscribe link and your postal address. You warrant that the content is lawful and that your recipients may be contacted under applicable law. localeads may pause or stop sending if bounce or complaint rates exceed our thresholds.
7. Your content
You retain ownership of lists and other content you upload. You grant us the rights needed to process that content to provide the Service to you. Content you upload is used to serve your workspace and is not shared with other customers.
8. Accuracy and corrections
Business records are messy; the Service reports what sources support, with provenance where available, and "unknown" is a possible answer. If you believe a record is wrong, you can flag it in the product or email us and we will review it.
9. Intellectual property
The Service, including software, design, and content we create, is owned by [ENTITY] and protected by law. Feedback you provide may be used without obligation to you.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ESTIMATED FINANCIAL FIGURES ARE MODELED RANGES WITH STATED CONFIDENCE, NOT STATEMENTS OF FACT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, [ENTITY] WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES. OUR AGGREGATE LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
12. Indemnity
You will indemnify and hold harmless [ENTITY] from claims arising out of your use of the Service in violation of these Terms, including outreach conducted in violation of Section 5.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. Sections that by their nature should survive termination do.
